General provisions

This Public Offer contains the terms for entering into an agreement for the provision of services (hereinafter referred to as the “Service Agreement” and/or the “Agreement”). This Offer constitutes a sufficiently definite proposal expressing the intention of the person making the proposal to enter into an Agreement with the person who accepts it.

Performance of the actions specified in this Offer confirms the agreement of both Parties to enter into the Service Agreement on the terms, in the manner and to the extent set out in this Offer.

The text of this Public Offer constitutes an official public proposal by the Contractor addressed to interested persons to enter into a Service Agreement in accordance with paragraph 2 of Article 437 of the Civil Code of the Russian Federation.

The Service Agreement is deemed concluded and becomes effective from the moment the Parties perform the actions provided for in this Offer that constitute unconditional and complete acceptance of all terms of this Offer without any exceptions or limitations.

Terms and definitions

Agreement — the text of this Offer together with its appendices, which form an integral part of this Offer, accepted by the Customer through the performance of conclusive actions provided for by this Offer.

Conclusive actions — conduct that expresses agreement with a proposal to enter into, amend or terminate an agreement. Such actions consist of full or partial performance of the conditions proposed by the other party.

Contractor's Website — the collection of software and other information contained in an information system and made available through the Internet under the domain name and network address: https://rootnets.net/.

Parties to the Agreement (Parties) — the Contractor and the Customer.

Service — a service provided by the Contractor to the Customer in accordance with the procedure and conditions established by this Offer. Within ROOTNET VPN, the Service consists of providing access to the VPN service for the duration of the paid subscription.

Subject of the Agreement

The Contractor undertakes to provide the Services to the Customer, and the Customer undertakes to pay for them in the amount, manner and within the time limits established by this Agreement.

The name, scope, procedure and other conditions for the provision of the Services are determined on the basis of information provided by the Contractor when the Customer places an order or are established on the Contractor's Website at https://rootnets.net/.

The Contractor provides the Services under this Agreement personally or with the involvement of third parties and is responsible for the actions of such third parties in the cases and within the limits established by the applicable legislation of the Russian Federation.

The Agreement is concluded by acceptance of this Offer through the performance of conclusive actions.

Such actions include actions related to registration of an account on the Contractor's Website or in the ROOTNET VPN application where account registration is required.

Such actions also include placing and submitting an order by the Customer to the Contractor for the provision of Services.

Such actions include actions related to payment for the Services by the Customer.

Such actions include actions related to the provision of Services by the Contractor.

This list is not exhaustive. Acceptance may also be expressed through other actions that clearly demonstrate the person's intention to accept the Contractor's proposal.

Rights and obligations of the Contractor

The Contractor undertakes to provide the Services in accordance with the provisions of this Agreement, within the time limits and scope specified in this Agreement and/or in accordance with the procedure stated on the Contractor's Website.

The Contractor undertakes to provide the Customer with access to the sections of the Website and application necessary to obtain information about the Services.

The Contractor is responsible for the storage and processing of the Customer's personal data within the limits established by the legislation of the Russian Federation, ensures the confidentiality of such data and uses it for the purposes of providing the Services, maintaining the account, providing user support and complying with legal requirements.

The Contractor reserves the right to change the time limits or period for provision of the Services and the terms of this Offer by publishing the relevant changes on the Contractor's Website.

New or amended terms published on the Website apply to newly concluded Agreements unless otherwise provided by the applicable legislation of the Russian Federation.

Rights and obligations of the Customer

The Customer must provide accurate information about themselves when receiving the relevant Services where provision of such information is necessary.

The Customer undertakes not to reproduce, repeat, copy, sell or use for commercial purposes information and materials made available in connection with the provision of the Services, except for personal use by the Customer unless otherwise expressly permitted by the Contractor.

The Customer undertakes to accept the Services provided by the Contractor.

The Customer undertakes to use ROOTNET VPN in accordance with applicable law and not to use the Service for unlawful activities.

The Customer has the right to request a refund for Services not provided, Services provided improperly, Services provided in breach of the applicable time limits, and in other cases and on other grounds provided for by the applicable legislation of the Russian Federation.

The Customer confirms that all terms of the Agreement are understood and accepts them without reservations and in full.

Price and payment procedure

The price of the Contractor's Services and the payment procedure are determined on the basis of information provided by the Contractor when the Customer places an order or are established on the Contractor's Website.

The standard ROOTNET VPN subscription price is 399 (three hundred ninety-nine) Russian rubles for one month unless another price or tariff is expressly displayed to the Customer immediately before payment.

Before payment, the Customer is provided with information about the final price of the Service and the period for which access is provided.

All payments under the Agreement are made by cashless payment methods available on the Website or through the payment partner.

The Customer's payment obligation is considered fulfilled in accordance with the rules of the payment method used after successful payment has been confirmed.

Confidentiality and security

In performing this Agreement, the Parties ensure the confidentiality and security of personal data in accordance with the current version of Federal Law No. 152-FZ of 27 July 2006 “On Personal Data” and Federal Law No. 149-FZ of 27 July 2006 “On Information, Information Technologies and Information Protection”.

The Parties undertake to maintain the confidentiality of information obtained in the course of performing this Agreement and to take reasonable measures to protect such information from unauthorized disclosure.

Confidential information means information transferred by the Contractor and the Customer in the course of performing the Agreement and subject to protection in accordance with applicable law and the nature of such information.

Such information may be contained in agreements, correspondence, support requests, technical data, documents and other materials in paper or electronic form.

Force majeure

The Parties are released from liability for failure to perform or improper performance of obligations under the Agreement where proper performance becomes impossible due to force majeure circumstances, meaning extraordinary and unavoidable circumstances under the relevant conditions.

Such circumstances may include actions of public authorities, epidemics, blockades, embargoes, earthquakes, floods, fires, other natural disasters, significant failures of communications infrastructure and other circumstances meeting the legal criteria for force majeure.

If such circumstances occur, the affected Party must notify the other Party within a reasonable period, taking into account the nature of the circumstances and the available means of communication.

The existence and duration of force majeure circumstances are confirmed in accordance with the procedure established by applicable law.

Where force majeure circumstances make further performance of the Agreement impossible for a prolonged period, the Parties may act in accordance with the methods of termination of obligations provided by law.

Liability of the Parties

In the event of failure to perform and/or improper performance of their obligations under the Agreement, the Parties bear liability in accordance with the terms of this Offer and the applicable legislation of the Russian Federation.

The Contractor is not liable for failure to perform or improper performance of obligations under the Agreement where such failure or improper performance occurred through the fault of the Customer.

The Contractor cannot guarantee uninterrupted operation of third-party communication networks, Internet service providers, mobile operators, the Customer's devices or other infrastructure that is not under the Contractor's control.

A Party that fails to perform or improperly performs its obligations under the Agreement is liable for losses caused to the other Party in the cases and within the limits provided for by the legislation of the Russian Federation.

Term of this Offer

This Offer becomes effective from the moment it is published on the Contractor's Website and remains valid until it is withdrawn by the Contractor or a new version is published.

The Contractor reserves the right to amend the terms of the Offer and/or withdraw the Offer. Information about amendments or withdrawal may be communicated to the Customer by publication on the Contractor's Website, through the Customer's account or by notification using the contact details provided by the Customer.

The Agreement becomes effective from the moment the Customer accepts the terms of the Offer and remains effective until the Parties have fully performed their obligations under the Agreement.

Amendments published in a new version of the Offer apply in accordance with this Offer and the applicable legislation of the Russian Federation.

Additional terms

The Agreement, its conclusion and performance are governed by the applicable legislation of the Russian Federation. All matters not regulated or not fully regulated by this Offer are governed by the legislation of the Russian Federation.

If a dispute arises between the Parties in connection with performance of their obligations under the Agreement, the Parties must take measures to resolve it amicably before initiating court proceedings.

Court proceedings are conducted in accordance with the legislation of the Russian Federation.

Disputes or disagreements that the Parties are unable to resolve by agreement are subject to resolution in accordance with the legislation of the Russian Federation. A pre-trial procedure applies where required by law or by this Agreement.

The Russian language is designated as the language of the Agreement concluded under this Offer and as the language used for legally significant interaction between the Parties.

Documents provided in connection with performance of the Agreement must be prepared in Russian or accompanied by a Russian translation where such translation is required by applicable law.

Failure by one Party to act in response to a violation of this Offer does not deprive that Party of the right to protect its interests later and does not constitute a waiver of its rights.

Where the Contractor's Website contains links to third-party websites or materials, such links may be provided solely for informational purposes. The Contractor does not control the content of third-party resources and is responsible for them only in the cases expressly provided for by law.
